"The Office 4 U" means the person(s), firm or company providing the services hereunder;
"The Centre" means the person(s), firm or company acquiring the services of The Office 4 U hereunder;
- The Office 4 U will refer potential Clients for your Centre.
- All referrals of customers made by The Office 4 U to the Centre shall be deemed to be introductions giving rise to commission.
- In consideration for The Office 4 U introducing Clients to the Centre, the Centre will pay commission to The Office 4 U.
- All referrals must be accepted or declined by the Centre via email to The Office 4 U within 48 hours of referral.
- When a successful client introduction has been made, The Office 4 U will forward an invoice for a commission payable. The commission shall be an amount equal to 10% of the fully inclusive rent, exclusive of VAT (if applicable), payable by the Client to the Centre during and up to the first 12 months of the Clients accommodation contract.
- Such commission will be payable immediately from the date of the invoice, therefore failing which The Office 4 U shall be entitled to charge interest at the rate of 3% above the base rate of Barclays Bank Plc from time to time.
- A Centre is not obliged to register with The Office 4 U in order for any commissions to be payable by the Centre to The Office 4 U for introductions made.
- All warranties, conditions and other terms implied by statute or common law shall be excluded to the maximum extent permitted by law and The Office 4 U shall have no liability for any claim between the Centre and a customer.
- In the event of a Sale or an Event of Insolvency, all commission payable will become immediately due and payable in full.
- The Centre shall indemnify and hold harmless The Office 4 U from and against all and any costs claims loss and damages arising in respect of any claims brought by a customer of the Centre or any third party arising out the activities of The Office 4 U or the Centre.
- These conditions shall be governed by and construed in accordance with English law.
- The Office 4 U provides its services hereunder as an independent contractor and not as agent, partner or employee of the Centre.
- The Office 4 U do not operate on an exclusive basis.
- Each party acknowledges that in agreeing to enter into this Agreement it does not rely on any representation or warranty, collateral contract or other assurance other than those as set out in this Agreement. Each party waives all rights and remedies which, but for this sub-clause might otherwise be available to it in respect of such representation, warranty, collateral contract or other assurance, provided that nothing in this clause shall limit or exclude any liability for fraud.
- You may not distribute, modify, transmit, reuse, repost, or use the content of the Site for public or commercial purposes, including the text, images, audio and video without the written permission of The Office 4 U.
